Terms of Service
Version 1.0 · Effective October 21, 2026
CollabBridge is a marketplace. We give creators and businesses the tools to find each other, agree a collaboration and keep a record of it. We are not a party to your deals, we don't represent either side, and we don't provide legal advice.
1. What CollabBridge is, and what it is not
CollabBridge is a venue and set of tools. It lets people publish or send proposals, record that they accept a proposal, write down deliverables, track performance, and arrange payment. It also keeps a record of what was agreed.
CollabBridge is not a party to any collaboration agreed between members. We are not an agent, broker, manager, talent agency, employer, publisher, bank or fiduciary of any member, and we do not negotiate for, represent, or act on behalf of anyone.
We do not provide legal, tax, accounting, insurance or business advice. Nothing on the platform — including a proposal, an acceptance, a confirmation, a generated summary or a template — is legal advice or a substitute for advice from your own lawyer. If a deal needs a contract, you are responsible for getting one.
Every collaboration is made only between the members involved. They alone decide whether to enter it, on what terms, and whether to perform it. We do not supervise, verify, endorse or guarantee anyone's work, honesty, solvency or results.
2. Who can use CollabBridge
You must be at least 18 years old and able to enter into binding contracts. If you use CollabBridge for a company or another organisation, you confirm that you are authorised to accept these terms for it.
You may not use CollabBridge if you have previously been suspended or removed, or if doing so would break any law that applies to you.
3. Your account
Keep your details accurate and up to date. One account per person or business. You are responsible for everything done through your account and for keeping your login secure, and you must tell us promptly if you think someone else has access to it.
Profiles, proposals and messages must describe who you really are and what you can really deliver. Pretending to be someone else, or to work for someone you don't, is a serious breach of these terms.
4. Verification badges are not a guarantee
A verified badge means we reviewed the evidence a member sent us, to our own internal standard, at a point in time. It is not a guarantee, endorsement, credit check or confirmation of quality, and it can be withdrawn. Unverified members can still use the platform.
You are responsible for your own due diligence before you agree to anything — including checking who you are dealing with, whether they can pay, and whether their claims are true.
5. Deals, acceptance and official agreements
A member publishes or sends a proposal with its terms. Another member accepts it. The proposing member then confirms whether they want to work with that person. Once both sides have accepted and confirmed, the deal is recorded as official and its terms are locked on the platform.
The record we keep — proposals, terms, acceptance, confirmation, timestamps, uploaded files and reported metrics — is a record of what the members told us they agreed. It is not a legal opinion about whether an enforceable contract exists, and it does not replace your own contract where you need one.
Once a deal is official, its terms cannot be changed on the platform. If the members agree to change something afterwards, they are responsible for documenting that between themselves.
Only offer terms you are able to honour. Submitting a proposal you cannot or do not intend to fulfil, or accepting a deal you do not intend to complete, breaks these terms.
6. Payments, fees and taxes
Payments are processed by third-party payment providers (currently Stripe) under their own terms and their own pricing. We do not store full card details. We may hold back, reverse or refuse a payment where we reasonably believe it is fraudulent, part of a breach of these terms, or required by the payment provider or the law.
We are not a bank, escrow agent, trustee or fiduciary for either side, and we do not guarantee that any member will pay, deliver or perform. Payment milestones are released when the conditions recorded on the platform are met.
We may charge platform fees. Any fee is shown to you before you commit to it. We may change our fees with notice, and continuing to use a paid feature after a change means you accept the new fee.
Each member is responsible for their own taxes, filings and reporting on money they receive, and for their own invoicing, insurance and licensing. Nothing on CollabBridge creates an employment, partnership, joint venture or agency relationship — between members, or between a member and us. Members engage each other as independent contractors.
7. Your content and intellectual property
You keep ownership of what you upload. You give us a limited, non-exclusive licence to host, store, copy, resize, display and share your content as needed to run and promote the platform, and to show it to the other side of a deal you are in. That licence ends when the content is deleted, except for copies we must keep for legal or record-keeping reasons.
You confirm that you own or have permission to use everything you upload — including music, footage, images, trademarks and personal likenesses — and that your content and your collaborations don't infringe anyone's rights or break any law.
Rights in deliverables — usage, exclusivity, territory, duration — are whatever the members agree in their deal. We do not grant, buy, sell, value or enforce those rights. Where one member supplies content for another to publish, they are responsible for the licence they grant and for any disclosure the law or the platform's rules require.
8. How you must behave
You must not use CollabBridge to:
- •impersonate anyone, or misrepresent who you are, who you work for, or what you can deliver;
- •report fake, inflated, bought or otherwise misleading performance metrics;
- •commit fraud, take money or product without delivering, or misrepresent deliverables;
- •post or send anything illegal, infringing, hateful, sexually exploitative, deceptive or harassing;
- •spam, or send mass unsolicited outreach;
- •move a deal off the platform specifically to avoid our fees;
- •scrape, resell, reverse-engineer, overload or interfere with the platform or anyone else's account;
- •help anyone else do any of the above.
9. Reports, moderation, suspension and termination
Members can report a profile, a proposal, a message, a metric or a deal. We may review a report and take any action we consider appropriate.
We may review or remove content, restrict features, suspend or close accounts, withhold or reverse payouts where we are permitted to, and report unlawful activity to the authorities, when we believe these terms, the law, or someone's rights are at risk. Where it is necessary we may act without notice. Our decisions about moderation are final.
If we close your account, you lose access to it and to content in it, though we may keep records as described in our Privacy Policy.
10. Disputes between members
Disputes about a collaboration — deliverables, quality, deadlines, metrics, usage rights or payment — are between the members involved. They must try to resolve them directly with each other.
We can make our records of what happened available (proposals, confirmations, files, reported metrics, messages) if a member asks, and we may review evidence, but we do not adjudicate, arbitrate, mediate as a professional service, or guarantee any outcome.
Where a payment provider or card network requires it, we may cooperate with a chargeback or payment reversal request.
11. Availability and changes to the service
We may add, change, suspend or discontinue any part of CollabBridge at any time. We do not promise that the platform will always be available, uninterrupted, secure or error-free, or that any data will never be lost.
Keep your own copies of anything that matters to you — especially the terms of a deal you have agreed, and your own content.
12. No warranties
To the fullest extent the law allows, CollabBridge is provided "as is" and "as available", and we give no warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, non-infringement, accuracy, or any warranty about any member, their identity, their verification, their content, their performance or their ability to pay.
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
13. Limit on our liability
To the fullest extent the law allows, [Your registered company name], and its directors, officers, employees and contractors, are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, opportunity or data — including lost deals, unpaid amounts, a member's failure to perform, or another member's misuse of your content.
To the fullest extent the law allows, our total liability for all claims relating to CollabBridge or these terms is limited to the greater of the fees you paid to us in the twelve months before the event giving rise to the claim, or USD 100.
Nothing in these terms limits liability that cannot lawfully be limited or excluded.
14. You indemnify us
You agree to defend, indemnify and hold harmless [Your registered company name] and its directors, officers, employees and contractors from claims, demands, losses, damages, liabilities, fines, costs and reasonable legal fees arising out of: your content; your collaborations and how you or the other member performed them; your breach of these terms or of any law; your infringement of anyone else's rights; and any claim by another member about a deal you entered into.
15. Ending these terms
You may stop using CollabBridge at any time and ask us to close your account. We may end these terms with you by closing your account.
Terms that by their nature should continue — content licences, disclaimers, limits on liability, indemnity, and governing law — survive the end of these terms.
16. Changes to these terms
We may update these terms. Where a change is material we will give notice in the app or by email before it takes effect. Where the law requires it, we ask you to accept the new version, and we record the version, the date and the time you accepted. Continuing to use CollabBridge after a change also means you accept the updated terms.
17. Governing law, disputes and contact
These terms are governed by the laws of [your state or country], without regard to its conflict-of-laws rules, and the courts of [your state or country] have exclusive jurisdiction over disputes about the platform itself. Disputes about a deal are between the members involved and are covered by section 10.
If any provision of these terms is found unenforceable, the rest stays in force. These terms, together with the Privacy Policy and any policy we post, are the whole agreement between you and us about the platform. We may transfer our rights and obligations to someone else; you may not without our written permission. Notices to you go to your account email.
